Recital (48)

The provisions of this Directive on the automatic assignment of contracts to the acquirer are without prejudice to the right of the counterparty to terminate the contract in accordance with its terms or the right of the counterparty to take measures under the applicable contract law that aim to ensure compliant performance of the obligation by the debtor for cases of non-performance or defective performance, such as the counterparty’s right to require a deposit or security interests or the right of retention of performance before or after the assignment.
