Recital (51)

The release of security interests in or other encumbrances attached to assets belonging to the debtor’s business should be governed by national law. Where the law in a Member State requires the express consent of the holder of a security interest for the release of that interest, that Member State should be able to provide for a derogation from that requirement, except where the holder objects to the release.
